Terms of Service

The terms that apply when you use this website or engage us for engineering work. Straightforward on purpose — engagements run on a signed proposal, not on this page's fine print alone.

Last updated 17 September 2026 Governed by the laws of Kenya

01Acceptance of terms

By using tradescene.org or engaging Tradescene Tech Limited ("Tradescene," "we," "us") for services, you agree to these Terms of Service. If you're entering an engagement on behalf of a company, you confirm you have authority to bind that company to these terms and to the specific proposal or statement of work signed for that engagement.

Where a signed proposal or contract conflicts with this page, the signed document governs. This page covers general use of the site and the baseline terms of doing business with us.

02Our services

Tradescene provides, among other things:

  • Custom software engineering and product development;
  • Cybersecurity consulting, audits, and incident response;
  • Digital transformation, including e-commerce and inventory systems;
  • Ongoing maintenance and support for delivered systems.

Specific deliverables, timelines, and pricing for any engagement are defined in a separate proposal or statement of work, not on this website.

03Engagements & scope

Every paid engagement starts with a scoping conversation and ends with a written proposal describing the deliverables, timeline, and cost. Work begins once that proposal is accepted in writing (email is fine). Changes to scope after that point are handled through a written change order — we don't silently expand or shrink what was agreed.

04Client responsibilities

To deliver on schedule, we rely on clients to:

  • Provide timely access to systems, credentials, and information needed for the work;
  • Designate a point of contact who can make or escalate decisions;
  • Review and respond to deliverables within the timeframes agreed in the proposal;
  • Hold the necessary rights or licenses for any third-party material provided to us.

Delays on any of the above may shift the delivery timeline accordingly.

05Intellectual property

Unless the proposal states otherwise, ownership of custom code and deliverables built specifically for you transfers to you upon full payment. We retain ownership of:

  • Pre-existing tools, frameworks, and internal libraries we bring into a project;
  • General methodologies, know-how, and non-client-specific components; and
  • The right to reference the engagement (without confidential detail) in our own portfolio, unless your contract says otherwise.

Third-party software and open-source components remain governed by their own licenses.

06Payment terms

Payment schedules are set out in each proposal — typically a deposit before work begins, with milestone or monthly billing thereafter. Unless otherwise agreed, invoices are due within 14 days. Work may be paused on accounts more than 30 days overdue, after written notice.

07Confidentiality

We treat information shared during an engagement — technical, financial, or strategic — as confidential, and don't disclose it outside the team working on your project without consent, except where required by law. We're happy to sign a mutual NDA before any scoping conversation that requires one.

08Warranties & disclaimers

We warrant that work will be performed with reasonable skill and care, consistent with industry practice, and that delivered code will substantially conform to the agreed specification for a defect-correction period stated in the proposal. Beyond that, this website and its content are provided "as is," without warranties of any kind, express or implied, including fitness for a particular purpose. No engineering team can guarantee software is defect-free or that a system will never be compromised — we design defensively and disclose this plainly rather than overpromise.

09Limitation of liability

To the maximum extent permitted by Kenyan law, Tradescene's total liability arising from an engagement is limited to the fees paid for that engagement in the preceding 12 months. We are not liable for indirect, incidental, or consequential damages, including lost profits or data, except where such limitation is not permitted by law or in cases of our gross negligence or willful misconduct.

10Termination

Either party may terminate an active engagement with 14 days' written notice. You remain responsible for fees for work completed up to the termination date. We'll hand over completed deliverables and any relevant source code you're entitled to under Intellectual Property above.

11Governing law

These terms are governed by the laws of the Republic of Kenya. Any dispute arising from these terms or an engagement will be subject to the exclusive jurisdiction of the courts of Kenya, unless a specific engagement contract specifies arbitration or another venue.

12Changes to these terms

We may update these terms as our services evolve. Changes take effect once posted here, with the "last updated" date revised accordingly. They don't apply retroactively to engagements already under a signed proposal.

13Contact us

Questions about these terms, or about a specific engagement, can go to hello@tradescene.org. We're headquartered in Muranga, Kenya, working with clients across East Africa.
